Terms of Service

1. Acceptance of Terms

By accessing or using WatchLive ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

WatchLive is a live streaming platform that enables event organizers to broadcast live events and sell access to viewers. The Service includes live streaming, video on demand (VOD), ticketing, and payment processing features.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

  • Viewers: Users who watch live streams and VOD content
  • Organizers: Users who create events and manage streaming operations
  • Streamers: Users who operate cameras and broadcast content on behalf of organizers

4. Payments and Fees

4.1 Free Trial

WatchLive offers a 7-day free trial for all paid subscription plans. During the trial period, you have full access to the features of your selected plan. A valid credit or debit card is required to start the trial.

  • Your card will not be charged during the 7-day trial period
  • You may cancel at any time before the trial ends to avoid being charged
  • If you do not cancel, your subscription will automatically begin at the end of the trial and your card will be charged
  • Each organization is limited to one free trial (you cannot start multiple trials)

4.2 Subscription Plans

Organizers may subscribe to paid plans with varying features and limits. Subscription fees are billed monthly in advance. You may cancel your subscription at any time, but no refunds will be provided for partial months.

4.3 Platform Fees

WatchLive charges a platform fee on ticket and VOD sales, which varies by subscription tier. The current fee structure is:

  • Starter: 25% platform fee
  • Growth: 20% platform fee
  • Pro: 15% platform fee
  • Enterprise: Custom (negotiable)

4.4 Payment Processing

All payments are processed securely through Stripe. A 3.5% payment processing fee is added to ticket purchases and is paid by the buyer. By making a purchase, you agree to Stripe's terms of service.

4.5 Refunds

Refund policies are set by event organizers. Platform fees and payment processing fees are non-refundable. For refund requests, contact the event organizer directly. WatchLive may facilitate refunds but is not obligated to issue refunds for organizer decisions.

4.6 Payment Method on File (Organizers)

All organizers are required to maintain a valid payment method (credit or debit card) on file with their account. This payment method will be used for:

  • Subscription fees
  • Overage charges for exceeding plan limits (streaming hours, storage, etc.)
  • Chargebacks and disputed transactions initiated by viewers
  • Any other fees or charges incurred through use of the Service

By registering as an organizer, you authorize WatchLive to charge your payment method for any amounts owed. For overages and chargebacks, WatchLive will first deduct amounts from any pending ticket sale earnings in your account before charging your payment method on file.

4.7 Overages

If you exceed your plan's included limits (streaming hours, storage, viewer hours, etc.), overage charges will apply automatically. Overage rates are published on our pricing page and may be updated from time to time. By using the Service, you agree to pay all applicable overage charges. Overages are first deducted from your pending earnings balance; any remaining amount will be charged to your payment method on file.

4.8 Chargebacks and Disputes

If a viewer initiates a chargeback or payment dispute for a ticket purchase, the organizer is responsible for the full amount of the chargeback plus any associated fees (typically $15-25 per chargeback). These amounts will be deducted from pending earnings or charged to your payment method on file. Excessive chargebacks may result in account suspension or termination.

4.9 Payouts to Organizers

Organizers receive payouts of their earnings (ticket sales minus platform fees) according to the following schedule based on subscription tier:

  • Starter: Monthly payouts (1st of each month for previous month's earnings)
  • Growth: Bi-weekly payouts (every other Friday)
  • Pro/Enterprise: Weekly payouts (every Friday)

Payout terms and conditions:

  • Minimum threshold: $100 minimum balance required for payout. Balances below the minimum will roll over to the next payout period.
  • Standard payouts: Free via ACH bank transfer (1-2 business days)
  • Instant payouts: Available for a 3% fee (funds arrive within minutes to a linked debit card)
  • Bank account required: Organizers must link a valid bank account or debit card to receive payouts

If a refund or chargeback occurs after a payout has been issued, the amount will be deducted from your next payout. If your pending earnings balance is insufficient, the remaining amount will be charged to your payment method on file.

5. Content and Conduct

5.1 User Content

Users are solely responsible for all content they upload, stream, or transmit through the Service. By posting content, you grant WatchLive a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Service.

5.2 Prohibited Content

You agree not to post or stream content that:

  • Violates any applicable law or regulation
  • Infringes on intellectual property rights of others
  • Contains sexually explicit material involving minors
  • Promotes violence, hatred, or discrimination
  • Contains malware or harmful code
  • Impersonates another person or entity

5.3 Content Removal

WatchLive reserves the right to remove any content that violates these Terms or is otherwise objectionable, without prior notice. We may also suspend or terminate accounts that repeatedly violate these Terms.

6. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are owned by WatchLive and are protected by international copyright, trademark, and other intellectual property laws.

7. Service Availability

WatchLive strives to provide reliable, uninterrupted service but makes NO GUARANTEES regarding uptime, availability, or continuous operation of the Service. You acknowledge and agree that:

  • The Service may experience downtime, interruptions, or outages at any time
  • Scheduled and unscheduled maintenance may temporarily affect availability
  • Third-party services (streaming infrastructure, payment processors, CDNs) may fail independently
  • Live streams may be interrupted, delayed, or fail due to technical issues beyond our control
  • VOD content may be temporarily or permanently unavailable
  • We do not guarantee any specific level of uptime or service level agreement (SLA) unless explicitly stated in an Enterprise agreement

While we make commercially reasonable efforts to maintain service availability and will attempt to resolve issues promptly, WatchLive is not responsible for any losses, damages, or expenses resulting from service interruptions, regardless of the cause.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WATCHLIVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, sales, or business opportunities
  • Loss of data, recordings, or content
  • Technical failures, streaming interruptions, or service outages
  • Event cancellations, delays, or changes by organizers
  • Quality degradation of streamed or recorded content
  • Viewer inability to access purchased content
  • Actions, errors, or omissions of third-party service providers
  • Unauthorized access to or alteration of your transmissions or data
  • Any other matter relating to the Service

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WATCHLIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any and all claims arising from or related to the Service shall not exceed the lesser of: (a) the amount you paid to WatchLive in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WATCHLIVE SPECIFICALLY DISCLAIMS ANY WARRANTY THAT:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • Any errors in the Service will be corrected
  • The quality of any content, products, services, or information obtained through the Service will meet your expectations
  • Any stored data will be accurate, reliable, or preserved

You expressly understand and agree that your use of the Service is at your sole risk. Any content downloaded, streamed, or otherwise obtained through the Service is accessed at your own discretion and risk.

10. Indemnification

You agree to indemnify and hold harmless WatchLive and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in California.
